Terms of Service
Last updated: August 2026. These Terms of Service apply to every user of Ughoron TV (the "Service"), operated by Ughoron, Benin City, Nigeria.
1. Acceptance of these terms
By creating an account, subscribing to any plan, purchasing access, or using the Service in any way, you agree to be bound by these Terms of Service (the "Terms") and our Platform Rules. If you do not agree, you must not use the Service.
We may make the current version of these Terms available on this page at all times. You are responsible for reading them.
2. Eligibility
To use the Service you must:
- be at least 18 years old, or have reached the age of majority in Nigeria;
- have the legal capacity to enter into a binding contract;
- provide accurate, current and complete information when you register;
- not be located in a country where your use of the Service would breach local law.
If you are under 18, you may only use the Service under the supervision of a parent or guardian who agrees to these Terms on your behalf.
3. Accounts and registration
- You need an account to access most parts of the Service. Free viewing may be available on some content without an account.
- Each account is personal. You may not share, sell or transfer your account credentials to anyone else.
- You are responsible for all activity that happens under your account, whether by you or by someone you have allowed to use it.
- If you believe your account has been compromised, you must contact us immediately at support@ughoron.com.
- We may refuse, suspend or cancel an account, and any associated viewer profiles, if we reasonably believe the account is being misused or these Terms are being breached.
4. Account security and viewer profiles
- You must choose a strong password and keep it confidential.
- Your account may support multiple viewer profiles (including a Kids profile). You are responsible for configuring parental controls appropriate to each viewer.
- We may terminate or restrict your account if we detect activity that suggests unauthorised access, credential sharing at scale, or reselling of access.
5. Subscriptions, plans and billing
- The Service offers a free, advertising-supported tier and paid subscription plans (currently Premium) with different features and prices. Plan details and prices are shown before you pay.
- Paid plans renew automatically on their billing period (monthly or yearly) until you cancel. You authorise us (and our payment processor) to charge the applicable fee to the payment method you provide.
- Prices are in Nigerian Naira (NGN) and may include applicable taxes.
- We may change prices for future billing periods. We will give you at least 7 days' notice of any price increase before it affects your next renewal. Continued use after the change takes effect means you accept the new price.
- Promotions, trials and discounts are subject to the specific terms shown when they are offered.
6. Payments and refunds
- Payments on the Service are processed by Paystack or an equivalent licensed payment processor. By subscribing you agree to the payment processor's terms.
- You must not use payment methods you are not authorised to use.
- If a payment fails, your access may be suspended until the payment is resolved.
- Refunds: you may cancel at any time and keep access until the end of the period you have already paid for. We generally do not offer partial refunds for unused time unless required by law or stated in the terms of the offer you took.
- If we terminate your account for breach of these Terms, you are not entitled to a refund for the remaining period.
7. Free tier and advertising
- Free viewing is supported by advertising. You will see promotional content, banners and video ads.
- Advertisements on the Service may be personalised to your viewing habits in line with our Privacy Policy.
- Paid subscription plans remove most advertising from your experience. Some notices about the Service itself (for example, important safety or account messages) are not considered advertising.
8. The content library and your rights
- The Service provides access to films, series, podcasts, live events and other media licensed or produced by Ughoron ("Content").
- Content is licensed to you for your personal, non-commercial, private viewing only. It is not sold to you.
- You may not download, record, rip, capture, stream to third parties, redistribute, broadcast, publicly screen, or make derivative works of any Content, except where the Service explicitly provides an offline or download feature.
- We may add, remove, replace, or restrict Content at any time, including content you have added to your list or watched. Features and the layout of the Service may change.
- Live events and live TV channels may be subject to blackout, delay or interruption for technical, legal or rights reasons, and we are not liable for missed or interrupted broadcasts.
9. Acceptable use and conduct
You agree not to use the Service to:
- infringe the intellectual property or other rights of anyone, including Ughoron and its licensors;
- upload, transmit or display any material that is unlawful, defamatory, obscene, hateful, harassing or otherwise objectionable;
- attempt to gain unauthorised access to accounts, systems, or the network of the Service;
- interfere with the operation of the Service, including by introducing malware, scraping, flooding, or otherwise overloading it;
- circumvent, disable or interfere with technological protection measures, DRM, or any access controls;
- reverse engineer, decompile or disassemble any part of the Service;
- use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our written permission;
- resell, sublicense or otherwise commercially exploit access to the Service;
- use the Service for any fraudulent or unlawful purpose.
10. Platform Rules
All users must comply with our Platform Rules, which set out community and usage standards for the Service. The Platform Rules are part of these Terms. Breach of the Platform Rules may result in suspension or termination of your account.
11. Intellectual property
- The Service, its software, branding, design, logos and all Content are owned by Ughoron or its licensors and are protected by Nigerian and international intellectual property law.
- Your profile name, avatar and other account data are yours, but you grant us a non-exclusive, royalty-free licence to use them as necessary to operate the Service (for example, to display your reviews or viewing activity where you have chosen to make it public).
- Nothing in these Terms transfers any ownership of Content to you.
12. Your feedback
If you send us feedback, suggestions or ideas about the Service, you grant us an unrestricted, royalty-free, perpetual licence to use them without obligation or payment to you.
13. Third-party services and links
- The Service may contain links to third-party websites, apps or services (for example, payment pages, social media, or external players).
- We do not control and are not responsible for third-party services. Your use of them is governed by their own terms and privacy policies.
- The Service may integrate with social media or account services at your election; you control which accounts you connect.
14. Disclaimers
- The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses, or that Content will be complete or accurate.
- Internet speeds, device capability and network conditions outside our control affect streaming quality; we are not liable for poor performance caused by your connection or equipment.
15. Limitation of liability
- To the maximum extent permitted by law, Ughoron, its officers, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities, arising from or relating to your use of the Service.
- Our total aggregate liability for any claim arising from or relating to the Service is limited to the amount you actually paid us in the 12 months before the claim arose, or ₦50,000, whichever is greater.
- Nothing in these Terms limits liability that cannot lawfully be limited under Nigerian law.
16. Termination and suspension
- You may cancel your account at any time from Account settings. Cancellation ends your subscription at the end of the current billing period.
- We may suspend or terminate your account, in whole or in part, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraud or abuse, or if continued access would create legal or security risk.
- On termination, your right to access the Service and Content ends. We may delete or retain account data as described in our Privacy Policy.
17. Changes to these Terms
- We may update these Terms from time to time to reflect changes in the law, our Service, or our business practices.
- For material changes, we will make reasonable efforts to notify you (for example, by email or an in-app notice) before the change takes effect.
- Your continued use of the Service after the updated Terms take effect means you accept the updated Terms. If you do not agree, you should stop using the Service and cancel your account.
18. Governing law and disputes
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- We will first try to resolve any dispute informally. If a dispute cannot be resolved, you agree that it will be subject to the exclusive jurisdiction of the courts of Benin City, Edo State, Nigeria.
- Any claim must be brought within one year of the date the cause of action arose, except where the law requires otherwise.
19. Waiver and severability
- Our failure to enforce any provision of these Terms is not a waiver of that provision.
- If any provision of these Terms is held unenforceable, the remaining provisions continue in full force and effect.
20. Entire agreement
- These Terms, together with our Platform Rules and Privacy Policy, are the entire agreement between you and Ughoron concerning your use of the Service, and supersede any prior agreements.
